By using our Service, you grant us a non-exclusive, transferable, sublicensable, worldwide, royalty-free license to use, copy, modify, create derivative works based upon, distribute, publicly display, and publicly perform your user-generated content in connection with the operation and promotion of the Service. 

You represent and warrant that you own or control all rights in and to your user-generated content and have the right to grant the license stated above. 

You agree not to use the Service for any illegal, unauthorized, harmful, or offensive purpose. You may not use the Service to create, transmit, or display content that is unlawful, defamatory, obscene, pornographic, harassing, threatening, invasive of privacy or publicity rights, abusive, fraudulent, or otherwise objectionable. 

In no event shall Smart Infratech, Inc, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose. 

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. 

These Terms shall be governed and construed in accordance with the laws of the state of Florida, USA, without regard to its conflict of law provisions. 

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have between us regarding the Service. 

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to give prior notice of any new conditions in force. What constitutes a material change will be determined at our sole discretion. 

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree with the new conditions, please stop using the Service. 

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. 

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service. 

You agree to defend, indemnify, and hold harmless Smart Infratech, Inc., its affiliates, licensors, and their respective directors, officers, employees, and agents from and against any and all claims, actions, suits, or proceedings, as well as any and all losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service; (b) any user-generated content you post, upload, use, distribute, store, or otherwise transmit through the Service; (c) your violation of these Terms; or (d) your violation of any rights of another. 

Any disputes arising from or relating to these Terms of Service, or the use of the Service shall first be attempted to be resolved informally through good faith negotiations between the parties. If the dispute cannot be resolved informally, the parties agree to submit the dispute to binding arbitration under the rules of a recognized arbitration organization. 

Smart Infratech, Inc. respects the intellectual property rights of others and expects users of the Service to do the same. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please submit a notice to our designated Copyright Agent with the required information as specified in the Digital Millennium Copyright Act (DMCA). 

Users of the Service agree not to engage in any prohibited conduct, including but not limited to spamming, harassment, hacking, or any other activities that may harm Smart Compose AI or other users. Violation of this provision may result in termination of access to the Service and possible legal action. 

The Service may contain links to third-party websites or services that are not owned or controlled by Smart Infratech, Inc. Smart Infratech has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Users access and use such third-party websites or services at their own risk.
